Welcome to Ainify.ai ("Company", "we", "our", "us"). By accessing or using our website, services, and tools, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Ainify.ai provides a platform that allows users to upload documents, and embed this data into a vector database to connect it as context for third-party Large Language Models (LLMs). This enables the creation of custom AI agents and chatbots.

Disclaimer: The Ainify.ai standard tools are designed strictly for personal, educational, and research purposes. For commercial use, you must be the owner or have copyright of the data used by the AI agent/chatbot. Any other commercial use of our agents requires an Enterprise subscription (where we make sure the data is owned by the user).

3. Data Handling and Document Uploads

When you use our services to upload documents:

  • Vector Embedding: We do not store the raw documents or full text content of the files you upload permanently suitable for retrieval in their original form. Instead, we process the data to create "embeddings" (numerical representations) which are stored in vector databases to allow the LLMs to query and retrieve relevant context.
  • User Responsibility: You retain full responsibility for the data you upload. You represent and warrant that you have the necessary rights, licenses, and permissions to use, upload, and process such content.
  • Copyright: You are strictly prohibited from using our tool to infringe upon the intellectual property rights of others. You are solely responsible for ensuring your use of data respects copyright laws and ownership.

4. Third-Party AI Services

Our service integrates with third-party Large Language Models (LLMs) (e.g., OpenAI, Anthropic).

  • Availability: We are not responsible for the availability, uptime, or service quality of these third-party providers. Models and providers may change without notice.
  • Data Sharing: By using our service, you acknowledge that processed data (context) is sent to these third-party providers to generate responses. We are not responsible for how these third parties handle data once it is transmitted to them, although we strive to use enterprise-grade providers with strong privacy commitments.

5. Acceptable Use of Agents

The AI agents created with Ainify.ai are intended for lawful and ethical use.

  • Commercial Restriction: Unless you have an Enterprise subscription, you may not use the agents for commercial purposes (e.g., selling access to the agent, using it for customer support for a for-profit business). Standard plans are for personal, research, and educational use only, with the exception of commercial use when you are the owner or have copyright of the data used by the AI agent/chatbot.
  • Content Restrictions: You may not use our services to generate, host, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Liability: We are not responsible for the output generated by the AI agents or for any "bad usage" of these agents by you or your end-users.

6. Disclaimer of Warranties and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, AINIFY.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Mexico. Any disputes, allegations, or legal proceedings arising out of or relating to these Terms or your use of the Service shall be submitted to the exclusive jurisdiction of the competent courts located in Chihuahua city, Chihuahua, Mexico.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will indicate the date of the last revision at the top of this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
